...Не имея контекста, могу только написать "Memorandum to the Agreement".

А вот насчет (далее – «Соглашение») будет сложнее, т.к. сам кредитный договор определяется как (далее - "Договор"/the "Agreement"). Может быть, "Меморандум к Соглашению" - это Memorandum of Understanding?

Sales of Vessels and Memorandums of Agreement (“MOA”)

In general, contracts for the sale of a vessel do not fall within the federal court’s admiralty jurisdiction. Acting in accordance with contracts for the sale of a vessel – contracts for the construction of a vessel (or, shipbuilding) do not fall within the federal court’s admiralty jurisdiction either. However, contracts to repair vessels are maritime contracts. Did you catch all of that?

So, what does that all mean? Well, simply put, there may be jurisdictional issues that present themselves as to whether you would be operating within the federal court’s admiralty jurisdiction or state law.

If the buyer decides to purchase, then parties exchange essential terms which eventually becomes a “recap message” that includes price, delivery location, and the scope of any further inspections. Once the terms are agreed upon, then a Memorandum of Agreement (“MOA”) is drafted – usually, by form and prepared with the assistance of an attorney.

Once this is completed, the buyer pays a deposit and organizes any more predelivery inspections while preparing to register the vessel with its chosen flag. There may be addendums to the MOA. If the form of the delivery documents is agreed between the parties then the seller transfers the vessel to the place of delivery and submits a Notice of Readiness (“NOR”).

At closing, the deposit is released, and the buyer pays the balance of the purchase price against delivery of the vessel and the required seller’s documents.

Of course, this is a simplistic breakdown of the process and it is generally advisable to retain an attorney.

P.S. Если "моторная яхта (Морское судно)" приобретается в англоязычной стране, то "Меморандум к Соглашению" изначально составлялся на английском языке и, вполне вероятно, именовался "Memorandum of Agreement" "Меморандум о согласии", что не очень удачно было переведено на русский язык как "Меморандум к Соглашению".

Не следует забывать, что помимо "Memorandum of Understanding" и ""Memorandum of Agreement" в англоязычной юридической практике также существует ""Memorandum of Understanding and Agreement", который обычно переводится на русский язык как "Меморандум о взаимопонимании и согласии".

Я бы перевел данную фразу как: The Bank grants a Loan to the Borrower for the purchase of the motor yacht _________ (hereinafter "Marine Vessel") under the Memorandum of Agreement between XXX (Seller) and YYY (Buyer) regarding the purchase and sale of the yacht _______________ "___" June 20__ (hereinafter "Agreement")..., поскольку в данном контексте ""Agreement" - это не "кредитный договор" между Банком и Заемщиком, а "Меморандум к Соглашению между XXX (Продавец) и YYY (Покупатель) в отношении купли-продаж[и] яхты _______________ «___» июня 20__ года", который далее по тексту для краткости именуется одним словом "Соглашение".

Как понимается, здесь текст ссылается на какой-то протокол о намерениях о возможной купли продажи яхты. Такой протокол пнреводится как Memorandum of Understanding
