Source text - English 3. Term: Subject to Section 4 hereunder, this appointment is for a period of three (3) years commencing upon the date that this Agreement is executed by both parties and returned to us and terminating on the 26th day of June, 2025.
4. Minimum Quantities: Silver Distributions shall apply its best efforts toward the goal of selling in Texas the maximum amount of the Systems as possible. Without derogating from the generality of the above, during each one-year term of this Agreement, Silver Distributions undertakes to purchase from ERGO and sell in Texas, not less then the minimum quantities of the Products as listed hereunder in F.O.B. US Dollar values.
The Minimum Quantities, for the "Systems", in F.O.B. $ US Dollar values, will be:
(a) First Year: US $ 500,000.
(b) For each of the following years, the higher of the two figures, either: US $ 605,000 OR the actual sales during the previous year, plus 10% (ten percent).
Failure by Silver Distributions to uphold the minimum purchase requirements, shall entitle ERGO to terminate this Agreement by notice to Silver Distributions, according to ERGO's discretion. This shall be the sole remedy available to ERGO for Silver Distributions' failure to uphold minimum quantities.
Translation - Hebrew 3. תקופה: בכפוף לסעיף 4 להלן, מינוי זה הוא לתקופה של שלוש (3) שנים, החל מהתאריך שבו ייחתם הסכם זה על ידי שני הצדדים ויוחזר אלינו ועד ליום ה-26 ביוני, 2025.
4. כמויות מינימום: סילבר הפצות תשקיע את מיטב מאמציה במטרה למכור בטקסס את הכמות המקסימלית האפשרית של המערכות. מבלי לפגוע בכלליות האמור לעיל, במהלך כל תקופה בת שנה אחת של הסכם זה, סילבר הפצות מתחייבת לרכוש מ-ERGO ולמכור בטקסס, לא פחות מאשר כמויות המינימום של המוצרים כמפורט להלן בערכי F.O.B דולר ארה"ב.
כמויות המינימום, ל"מערכות", בערכי F.O.B $ דולר ארה"ב, יהיו:
(א) שנה ראשונה: US $ 500 000.
(ב) עבור כל אחת מהשנים הבאות, הסכום הגבוה מבין השניים, או: US $ 605,000 או המכירות בפועל במהלך השנה הקודמת, בתוספת 10% (עשרה אחוזים).
