A pro question is anything else... in other words, any question that requires knowledge or skills that are specialized (even slightly).
Another way to think of the difficulty levels is this: an easy question is one that deals with everyday conversation. A pro question is anything else.
When deciding between easy and pro, err on the side of pro. Most questions will be pro.
* Note: non-member askers are not given the option of entering 'pro' questions; the only way for their questions to be classified as 'pro' is for a ProZ.com member or members to re-classify it.

I often see this type of phrase in contracts and I'm not surprised when I see one. It is long and wordy, this is why I also suggested "n'est aucunement acquise", so now the Asker can choose or find something different ;)

If you split it thus, it should be simpler to understand:
"or in the event of any share not being taken up" yhen "to any person selected by the Directors..."
There is nothing actually wrong with the source text as such, it just follows the trend these days, in certain styles of document, to omit commas where, traditionally, they would have been perceived as helpful in comprehension!
Such notice shall constitute the Company his agent for the sale of the share
to the company or, in the event of the company not electing to purchase,
to any member of the Company or, in the event of any share not being taken up,
to any person selected by the Directors as one whom it is desirable in the interests of the Company to admit to membership of the Company, [and] at the fair value to be fixed by the Auditor for the time being.
Donc:
